Terms and Conditions

Important: Please read these Terms and Conditions carefully before using Nuggzy. By accessing or using our service, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing and using Nuggzy ("the Service"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Nuggzy is a platform that allows users to create, organize, and share video content segments ("Nuggets") from YouTube videos. The Service includes both free and paid subscription features.

3. User Accounts

3.1 Account Creation

You must create an account to access certain features. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password
  • Be responsible for all activity under your account
  • Notify us immediately of any unauthorized use

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion.

4. Subscription and Payment

4.1 Subscription Plans

Nuggzy offers subscription plans at $2.99/month ("Pro"). Subscription fees are billed in advance on a monthly basis.

4.2 AI Credits

Pro subscribers receive monthly AI credits. Additional credits may be purchased and never expire. Credits are non-refundable and non-transferable.

4.3 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused credits.

5. User Content and Conduct

5.1 Your Content

You retain ownership of content you create ("Nuggets"). By posting content, you grant Nuggzy a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content in connection with the Service.

5.2 Prohibited Content

You agree not to post content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights
  • Contains hate speech, harassment, or threats
  • Is pornographic, obscene, or sexually explicit
  • Contains malware or harmful code
  • Impersonates any person or entity

5.3 YouTube Content

Nuggzy creates references to YouTube videos but does not host video content. You are responsible for ensuring you have the right to create Nuggets from any YouTube video. All YouTube content is subject to YouTube's Terms of Service.

6. Intellectual Property

6.1 Nuggzy Property

The Service, including its design, features, and functionality, is owned by Nuggzy and is protected by copyright, trademark, and other intellectual property laws.

6.2 Copyright Infringement

We respect intellectual property rights. If you believe content on Nuggzy infringes your copyright, please contact us at admin@nuggzy.com with:

  • Identification of the copyrighted work
  • Location of the infringing material
  • Your contact information
  • A statement of good faith belief
  • A statement under penalty of perjury
  • Your physical or electronic signature

7. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy.

8. Disclaimers and Limitation of Liability

8.1 Service "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUGGZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3 Limitation of Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO NUGGZY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nuggzy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another
  • Your content posted on the Service

10. Third-Party Services

The Service integrates with third-party services including YouTube and Stripe. Your use of these services is subject to their respective terms and conditions. Nuggzy is not responsible for third-party services.

11. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time without notice. We may also modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by the laws of Georgia, United States, without regard to conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court, except that you may assert claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Nuggzy individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Nuggzy regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
